Terms of Service
Last updated October 15, 2026
Upside is run by Blue Chip Partners LLC, a Wyoming limited liability company ("we", "us"). These terms cover everyone who uses upside.ltd: coaches, trainers and programs who run camps ("coaches") and parents or guardians who register campers ("parents"). By creating an account or registering a camper, you agree to them.
1. What Upside is
Upside is software that lets coaches publish camp pages, take registrations, collect signed waivers and get paid. Each camp is run by the coach who lists it, not by us. The coach is responsible for the camp itself: its staff, facilities, supervision, safety, refunds and anything promised on the camp page. We are not a party to the agreement between a coach and a parent, and we don't employ, supervise or vet coaches.
2. Accounts
You must be at least 18 to create an account or register a camper. Keep your login safe and tell us right away if you think someone else has used it. You're responsible for activity on your account, including anything an AI assistant you connect does with the access you grant it.
3. Coaches
- You'll give accurate information about yourself, your program and your camps, and keep it up to date.
- You're responsible for following the laws that apply to your camps, including any licensing, background-check, insurance, health and safety, and youth-protection rules where you operate.
- You decide what goes in your waiver. Upside provides a starting template only; it is not legal advice, and you should have your own lawyer review it.
- You'll only use parent and camper information to run your camps and communicate about them, and you'll keep it confidential and secure.
- You'll only upload logos and photos you have the right to use, and you'll have permission from parents before posting photos of identifiable children.
- You'll honor the refund policy you publish on your camp page.
4. Payments and fees
Payments are processed by Stripe. To receive payouts, coaches set up a Stripe account and agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. We never see full card or bank numbers.
- Free plan: Upside keeps 6% of each paid registration, which covers card processing. Parent and camper details for each camp are removed from your dashboard 14 days after the camp ends.
- Pro plan: $1,000 per year, billed in advance and renewing automatically until cancelled. Pro has no Upside fee per registration; card processing (2.9% + 30¢ per payment) is passed through at cost. Pro includes 10 hours of help from our team per billing year; unused hours don't roll over, and extra hours are $100 each.
- Full Service plan: $10,000 upfront, invoiced when you sign on, plus Upside keeps 6% of each paid registration. Our team helps plan, book, market and run your camp under a separate written agreement, which sets out exactly what we handle.
- Fees are deducted before the payout reaches the coach. When a registration is refunded, our fee may not be returned.
- You can cancel Pro anytime from Plan & payouts; it stays active until the end of the paid year. We don't give partial-year refunds unless the law requires it.
- We may change our fees with at least 30 days' notice by email. Changes don't affect registrations already paid.
5. Parents
When you register a camper, you confirm you are their parent or legal guardian, that the information you give is accurate, and that you have read the coach's waiver and refund policy. Questions about a camp, refunds or your camper's care go to the coach, whose contact details are on the camp page. Your payment goes to the coach (less our fee), and refunds are made by the coach under their published policy.
6. AI features
Upside can draft profiles, camp pages and parent messages with AI, and coaches can connect their own AI assistant. AI drafts can be wrong. Review everything before you publish or send it; you're responsible for what goes out under your name.
7. Acceptable use
Don't use Upside to break the law, mislead parents, collect information you don't need, send spam, harm children, interfere with the service or other users, or access accounts or data that aren't yours. We may suspend or close accounts that do, and may remove camp pages that we believe put campers or parents at risk.
8. Your content
You own what you upload or write. You give us permission to host, display and send it as needed to run Upside for you (for example, showing your camp page and emailing your families). We own the Upside software and brand.
9. Disclaimers and limits
Upside is provided "as is". We work to keep it running and accurate but don't promise it will be uninterrupted or error-free. To the fullest extent the law allows, we aren't liable for indirect, incidental or consequential damages, or for injuries, losses or disputes arising from a camp, and our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim (or $100 if you paid none). Coaches agree to defend and hold us harmless from claims arising from their camps, their content or their breach of these terms.
10. Ending your account
You can stop using Upside anytime. Coaches can ask us to close their account by email; camps with paid registrations must be finished or refunded first. We may keep records we're required to keep, as described in our Privacy Policy.
11. Changes and disputes
We may update these terms. If a change is significant we'll email coaches at least 30 days ahead; using Upside after that means you accept it. These terms are governed by the laws of the State of Wyoming, and disputes will be handled in the state or federal courts located in Wyoming, unless the law where you live gives you the right to bring a claim locally.
